This document is a public offer — a proposal by the Marketplace service to enter into a contract for the provision of services on the terms set out below. The offer is addressed to any person with legal capacity who intends to use the paid services of the service. Payment for the services constitutes full and unconditional acceptance of the terms of this offer and means the conclusion of the contract.
Operator — [Company legal name], [Registered address], providing services on the terms of this offer.
Service (Marketplace) — a software platform for posting listings and advertising materials, available as a web application (PWA) at example.com and as a Telegram Mini App.
User — a person with legal capacity who uses the Service and has accepted the terms of this offer.
Services — services provided by the Operator on a paid basis for posting and promoting the User's listings and advertising materials in the Service.
Credits (shown in the Service interface as “Spot”) — an internal accounting unit of the Service reflecting the volume of Services prepaid by the User. Credits are not money, electronic money, securities or any other means of payment; they cannot be exchanged for money or withdrawn, and cannot be transferred between Users.
Acceptance — full and unconditional acceptance by the User of the terms of the offer by paying for the Services.
2.1. Acceptance of the offer is the User's payment for the Services. From the moment of acceptance, the contract is deemed concluded on the terms of this offer and does not require signing by both parties.
2.2. By paying for the Services, the User confirms that they have read this offer, fully agree with its terms, have legal capacity and are at least 18 years old.
2.3. The Operator may change the terms of the offer at any time. Changes take effect from the moment the new version is posted in the Service. The current version is always available on this page.
3.1. The Operator undertakes to provide the User with Services for posting and promoting listings and advertising materials in the Service, and the User undertakes to pay for these Services in the manner and on the terms of this offer.
3.2. The list of available Services and features (posting listings, promotion, highlighting, publication of advertising materials and other features) is defined in the Service interface.
3.3. The Service provides solely information-posting services. The Operator is not a seller of the goods or services posted by Users, is not a party to transactions between Users, and is not an intermediary, agent, commission agent, payment agent or escrow service. All transactions regarding goods and services whose information is posted in the Service are concluded by Users independently and outside the Service. The Operator does not participate in such transactions, does not transfer funds between Users, and bears no responsibility for such transactions.
3.4. An exception to clause 3.3 is the "Safe Deal" feature for cryptocurrency transactions, governed by Appendix 1 to this offer. When using it, Users still conclude the transaction between themselves: the Operator does not become a party to it, does not accept Users' funds into its accounts and does not hold them — during the deal the funds are held by a smart contract, while the Operator provides the software interface and the arbitration service.
4.1. The purchase of Credits is a prepayment for the Operator's Services for posting and promoting listings and advertising materials.
4.2. Credits have a purely technical (accounting) purpose — recording the volume of Services available to the User — and are used only within the Service.
4.3. Credits are not money, do not accrue interest, and are not subject to withdrawal, refund in monetary form beyond the terms of section 7, exchange for money, or transfer to other Users.
4.4. The price of one Credit is 1 USDT. When paying in another cryptocurrency (e.g. GRAM), the amount is converted at the rate at the time the receipt is calculated. Current prices are listed in the Price list and shown in the Service interface at the time of payment.
5.1. The cost of the Services is determined by the number of Credits purchased and their price (clause 4.4).
5.2. Payment is made by non-cash means: in cryptocurrency — USDT or GRAM on the TON network, or USDT on the TRON network (TRC-20) (other networks as they are connected; the list is shown in the Service interface), and through payment providers connected by the Operator where such a method is available in the interface.
5.3. For cryptocurrency payments, when the purchase button is pressed the Service calculates a receipt at the current rate: the price of the Credits, the wallet check fee (included in the payment only if the wallet passes the check, clause 5.4) and the network fee for the transfer (for information; it is charged by the User's wallet). The receipt is valid for 30 minutes; after that a new receipt is calculated. The price of the Credits in GRAM is rounded up to 0.1 GRAM; the rounding difference and overpayments are not refunded.
5.4. Before a cryptocurrency payment, the wallet the User will pay from is checked (AML) by an independent service — before any transfer and free of charge for the User. If the wallet passes the check, the check fee is added to the payment — 0.5 USDT (when paying in GRAM — in GRAM at the rate in the receipt); it is sent together with the price of the Credits in a single transfer. If a check fee has already been received from this wallet within the last 24 hours, it is not charged again. If the wallet fails the check, payment from it is not accepted and no check fee is charged; the Operator does not disclose the reasons. The result of a wallet check is valid for 24 hours: a repeated check of the same wallet within this period gives the same result without a new request to the service. The Operator may limit the number of checks of new wallets per day for one account. If the check service does not respond, the check is repeated.
5.5. Cryptocurrency payment is made only by confirming the transfer in the User's wallet (via TON Connect or a similar connection) and only from the wallet that passed the check. Transfers from exchanges and other wallets are not accepted. A payment received from another wallet, incomplete, or after the receipt has expired is reviewed by the Operator manually: the Credits are credited or the funds are returned less network fees and the wallet check fee.
5.6. Payments through payment providers are processed by them. The Operator does not store the User's bank card details.
5.7. Payment purpose: "Payment for posting a listing/advertisement."
5.8. The User's payment obligations are deemed fulfilled from the moment the funds reach the Operator's wallet (the transfer is confirmed by the network) or the payment is confirmed by the payment provider. After that, the corresponding number of Credits is credited to the User's balance (or to the shop balance when topping it up).
6.1. The User spends Credits on posting and promoting listings and advertising materials through the Service interface.
6.2. A Service is deemed duly and fully provided from the moment the corresponding listing or advertising material is posted (published) or the corresponding promotion feature is activated.
6.3. The Operator may engage third parties (infrastructure and other providers) to provide the Services while remaining responsible for the provision of the Services to the User.
7.1. Purchased and unspent Credits may be refunded to the User upon their written request before the provision of the corresponding Service has begun, i.e. before a listing is posted or a promotion feature is activated.
7.2. No refund is made for Services already provided (posted listings, activated promotion features), as such Services are deemed actually provided and accepted by the User.
7.3. A refund request is sent to support@example.com and is reviewed within up to 10 business days. The refund is made using the same method as the payment, less costs actually incurred by the Operator, including non-refundable payment providers' fees; for cryptocurrency payments — to the wallet the payment came from, in the same coin, less network fees. The wallet check fee (clause 5.4) and the rounding difference (clause 5.3) are non-refundable.
8.1. The User undertakes to comply with the terms of this offer and the Platform Rules; to post only accurate information and not to violate applicable law or the rights of third parties; not to post goods and services prohibited from circulation, or materials that violate the Platform Rules.
8.2. The User warrants that they hold all rights necessary for the posted materials and are solely responsible for their content, for relations with other Users, and for transactions concluded outside the Service.
8.3. The Operator undertakes to provide the Services in accordance with the terms of this offer and to ensure the functioning of the Service.
8.4. The Operator may reject, hide or remove a listing that violates applicable law or the Platform Rules, and may restrict or terminate the User's access to the Service if the User breaches the terms of this offer.
9.1. The Operator is not a party to transactions between Users and bears no responsibility for the quality, safety, legality or accuracy of the goods and services offered by Users, or for the parties' performance of obligations under such transactions.
9.2. The Service is provided on an "as is" basis. The Operator makes reasonable efforts to keep the Service running but does not guarantee the absence of technical failures and interruptions.
9.3. The Operator is not liable for indirect losses, lost profits or other damage arising from the use of or inability to use the Service, to the extent permitted by applicable law.
10.1. Processing of the User's personal data is carried out in accordance with the Privacy Policy posted in the Service at /privacy.
10.2. By accepting this offer, the User confirms their consent to the processing of personal data as set out in the Privacy Policy.
10.3. Messages and files in Service chats are kept for 30 days after they are sent and are then deleted automatically; the chats themselves remain. Safe Deal terms and evidence are kept in the deal until it is completed (Appendix 1, section 11).
10.4. From a wallet check (clause 5.4) the Operator keeps only the result and date of the check; the wallet address is deleted once the invoice or deal is closed.
11.1. This offer and the parties' relations are governed by [the laws of your country / state].
11.2. All disputes are resolved through negotiations. A claim is sent to support@example.com and is reviewed within up to 30 calendar days of receipt. If no agreement is reached, the dispute is subject to resolution in accordance with the law specified in clause 11.1.
12.1. The offer takes effect from the moment it is posted in the Service and is valid indefinitely until withdrawn or amended by the Operator.
12.2. Continued use of the paid Services after the offer is amended constitutes the User's agreement to the new version.

1.1. Safe Deal — a Service feature whereby payment for a transaction between Users is held by a smart contract while the transaction is being performed and is released to the Seller upon performance, or returned to the Buyer, under this Appendix.
1.2. Smart contract — a program on a blockchain network that holds the deal payment and distributes it only according to the rules in its code. The smart contract can transfer deal funds only to the Buyer or the Seller and withhold the fees specified in section 8.
1.3. Buyer and Seller — the Users entering into the deal. Deal terms — the text, price, network, performance and inspection periods agreed by both parties. Only the Seller sets the price.
1.4. Wallet — a User's cryptocurrency wallet linked to the account, to which payouts and refunds are sent.
1.5. Arbiter — an employee authorized by the Operator or a Service administrator who reviews a dispute.
2.1. Safe Deal is optional. A Seller enables it for individual listings; the parties may also propose it in a conversation.
2.2. Settlements are made in USDT on the networks listed in the Service interface (as of this version — TRON and TON) and, on the TON network, also in GRAM (the TON network coin) where this option is available in the interface. The parties choose the deal currency in the terms; all deal amounts — price, fees, payouts — are then in that currency.
2.3. The Operator is not a party to the deal, a seller, a buyer, a surety or a guarantor of the parties' obligations, and is not liable for the quality, quantity, legality or accuracy of description of goods and services.
2.4. The Operator does not accept the payment into its accounts, does not hold it and cannot dispose of it other than under the smart contract's rules.
3.1. Linking a wallet is confirmed by a signature in the User's wallet. The signature gives the Operator no access to the User's funds.
3.2. The User is solely responsible for keeping the keys and recovery phrase of their wallet. The Operator does not request or store them and cannot restore lost access.
3.3. A User may save several wallets per network in the profile and choose a default one; a saved wallet may belong to one account only. The Buyer may specify a wallet for a single deal without saving it. The Seller's payout wallet must be saved in the profile: a newly added wallet (if the network already had another one) becomes available for payouts 24 hours after it is added, and the User is notified of the addition. The proposing party's wallet is fixed in the deal when the proposal is sent, the accepting party's — upon acceptance of the terms, and it does not change afterwards.
4.1. One of the parties proposes the deal terms. Only the Seller sets the price: the Buyer describes the terms without a price, and the Seller names the price in a reply version.
4.2. Any change to the terms creates a new version, and the other party's consent is required again. A party cannot accept its own version. The terms are agreed when both parties have agreed to the same version.
4.3. Agreed terms may be changed by a new version until the Buyer's wallet check begins (section 5). During the check the terms are frozen (for up to 30 minutes). After payment the terms do not change.
4.4. A proposal not agreed within 7 days expires; so does a deal that was agreed but not paid within 7 days.
5.1. After the terms are agreed, the Buyer presses "Buy" and the Service calculates a receipt at the current rate: the wallet check fee (charged only if the wallet passes the check, clause 5.2), contract creation, gas for the payout or refund, the network fee for the Buyer's transfer (for information) and the price. The receipt is valid for 30 minutes. The total to transfer is rounded up to 0.1 of the deal currency (USDT or GRAM); the rounding difference is not refunded. On the TON network, contract creation and gas for the payout or refund are stated in GRAM at current network prices with a margin and are sent together with the payment (with the same wallet confirmation) to the Operator's service wallet that pays the deal's network costs; this amount is not refunded, including when the payment is not credited or the deal does not take place. On the TRON network no separate contract is created for a deal (one contract handles all deals); gas for the payout or refund is stated in TRX at current network prices with a margin, is sent together with the payment by the same wallet action to the same service wallet and is likewise not refunded.
5.2. Before payment (on the TON and TRON networks) the Buyer's wallet specified in the deal is checked (AML) by an independent service — before any transfer and free of charge for the Buyer. If the wallet passes the check, the check fee — 0.5 USDT (in a GRAM deal — in GRAM at the rate in the receipt) — is included in the deal payment amount: the deal is considered paid only after both the price and this fee have arrived, and at settlement the fee is retained for the Operator whatever the outcome of the deal and is not refunded. If this wallet has already paid for a check within the last 24 hours, the fee is not charged again. If the wallet fails the check, payment from it is impossible and no fee is charged; the reasons are not disclosed. The result of a wallet check is valid for 24 hours. The Operator may limit the number of checks per day for one account. If the check service does not respond, the check is repeated.
5.3. After a successful check the Service creates the deal contract, and within 30 minutes the Buyer transfers the price, the network costs and the check fee from the receipt — only by confirming in the wallet that passed the check. Payments from exchanges are not accepted. On the TON network the payment is a transfer to the deal contract address. On the TRON network a deal has no separate address: the payment is a call to the deal contract from the Buyer's wallet (first an approval to debit exactly the payment amount, then the payment itself); the contract accepts it only from the Buyer's wallet specified in the deal and only with the Service's permission issued after the wallet check.
5.4. Only the deal currency on the network specified in the deal may be sent. Funds sent on another network, in another token or to another address may be irreversibly lost; the Operator is not liable for this. On the TON network the deal contract credits only transfers that notify the contract (as the payment button in the deal card does): the payment — only from the Buyer's wallet and only before the payment deadline (after it — only the arbitration fee for a paid deal), the counter-fee — only from the Seller's wallet and only after the arbitrator is called. Any other notified transfer (from another address, after the payment deadline, from the Seller before the arbitrator is called) is not treated as payment and is returned only to its sender: immediately if enough TON for the return is attached, otherwise by the Service, usually within an hour (the contract keeps up to eight such senders at a time; a transfer beyond that is handled as a transfer without a notification). A transfer without a notification (e.g. from an exchange) is not visible to the contract: after the deal is completed such funds can be transferred only to a party to the deal (the Buyer or the Seller) based on blockchain data; the contract does not allow returning them to a third party.
5.5. If an incomplete amount has arrived by the deadline, the deal terminates and the received funds are returned to the Buyer less the transfer fee and the wallet check fee. An overpayment of 1 USDT or more (in a GRAM deal — of the amount equal to 1 USDT at the rate in the receipt) is returned to the Buyer at settlement; a smaller one remains with the Operator towards network costs. Funds received at the address of a completed deal are returned to the sender.
6.1. The Seller performs within the performance period; the Buyer checks the result within the inspection period.
6.2. The Buyer confirms receipt with a wallet signature, and the payment is released to the Seller immediately. If by the end of the inspection period the Buyer has neither confirmed receipt nor opened a claim, the payment is released to the Seller automatically.
6.3. The Seller may at any time before settlement refund the payment to the Buyer or extend the deal period.
6.4. Payouts and refunds are sent only to the wallets fixed in the deal.
7.1. Before the end of the inspection period the Buyer may open a claim describing the problem. The payout to the Seller is suspended for 3 days, during which the parties may agree on a full refund, a payout to the Seller or a split of the amount. The Buyer may withdraw the claim.
7.2. If no arbiter is called within the claim period, the payment is released to the Seller in the usual manner.
7.3. During the claim period the Buyer may call an arbiter by paying the arbitration fee into the deal contract (on the TRON network, gas for resolving the dispute is sent in TRX together with the fee). The Seller pays a matching counter-fee within 48 hours. If the counter-fee is not paid, the payment and the Buyer's fee are returned to the Buyer automatically (in a GRAM deal, any part of the counter-fee paid by the Seller is returned to the Seller).
7.4. The arbiter reviews the dispute based on the deal terms and the evidence the parties attach to the dispute in the deal card: screenshots and files — uncompressed, up to 10 MB; videos — up to 1 minute and 20 MB, longer ones as a link. The arbiter does not read the parties' entire conversation — the parties attach the relevant parts themselves. The review period is 48 hours after both fees are paid; if evidence is requested, the period is extended by 24 hours and the party adds it in the deal card.
7.5. The arbiter decides how the deal amount is split between the parties and who pays for the arbitration: the losing party, or both parties in equal shares for a partial decision. The winning party's fee is returned to it. The decision is executed automatically by the smart contract.
7.6. Once the arbiter has taken the dispute into work, the arbitration fee is non-refundable. If the parties then reach an agreement themselves, the fee is withheld from the party that conceded, or from both parties in equal shares if the amount is split. Before that moment the parties may settle without loss and both fees are returned.
7.7. If the arbiter has not made a decision within 7 days after the counter-fee deadline, each party receives back what it paid, and no arbitration fee is charged.
7.8. An arbiter does not review disputes in deals in which they participate. The arbiter's decision is final within the Service; it is not a court or arbitral award and does not deprive the parties of the right to seek protection under the applicable law.
8.1. A Safe Deal without a dispute is free for the parties except for the wallet check fee and network costs (contract creation, gas for the payout or refund). They are calculated at the current rate in the receipt (section 5), paid by the Buyer and are non-refundable after settlement.
8.2. The arbitration fee is 5% of the deal amount, but not less than 10 USDT (in a GRAM deal — not less than the amount equal to 10 USDT at the rate in the receipt; this amount is fixed in the contract), and is charged only when an arbiter is called, in accordance with clauses 7.3–7.7.
8.3. The User pays the network fee for transfers from their own wallet (payment, fees). On the TON network, confirming a deal action (payout, refund, split, extension, withdrawing a claim) is a transaction from the party's wallet carrying about 0.05 GRAM for network gas; the unused part remains in the contract and goes to the Operator at settlement towards network costs. On the TRON network such confirmations are free signatures.
9.1. Blockchain transactions are irreversible. The parties understand the risks of cryptocurrencies, including network failures, exchange-rate changes, address blocking by the token issuer and other circumstances beyond the Operator's control.
9.2. If the token issuer blocks the recipient's address, the payout is kept in the smart contract and may be received at another address of that party.
9.3. The Operator is not liable for the parties' acts or omissions, for their performance of obligations, for losses from lost wallet access or for blockchain network failures. The Operator's liability for a deal is limited to the fees actually received by it for that deal.
9.4. The Operator may suspend or refuse the feature in case of signs of fraud or violation of the law or this offer. Funds of deals already concluded remain in the smart contract and are distributed under its rules.
10.1. Safe Deal may not be used for goods and services whose circulation is prohibited, for money laundering, sanctions evasion or other unlawful purposes.
10.2. The User is solely responsible for complying with the laws of their country on digital currencies, taxation and settlements. In some jurisdictions the use of digital currency to pay for goods and services is restricted; the feature may be unavailable to Users from such jurisdictions.
11.1. The terms, events, evidence and wallet check information are kept in the Service for the duration of the deal. After it is completed (settled, declined, withdrawn or expired) the Operator deletes this data within 24 hours; deals whose payout did not reach the recipient — after the issue is resolved.
11.2. For paid deals, only a record is kept and shown publicly in the Seller's profile (on the shop storefront): the sequential number of the deal with that Seller, the month and year of completion and the outcome — "no dispute", "in favour of the buyer", "in favour of the seller" or "amount split". A Service administrator can additionally see which arbiter resolved the dispute.
11.3. Blockchain records are public and are not deleted.
